By using prefdd.com you agree to these terms. The site is provided "as is" for informational and lead-capture purposes. Nothing on this website is legal, tax, financial, or investment advice.

2. Engagement terms

Any preFDD engagement is governed by a separate engagement letter signed by both parties. In the event of any conflict, the engagement letter prevails over the contents of this website.

3. Confidentiality

We treat all submitted materials as confidential. A mutual NDA is signed before we accept full deal materials.

4. Independence and conflicts

We take no success fees, finder's fees, or economic interest in the underlying transaction. If we identify a material conflict, we will disclose it and decline the engagement.

5. Deliverable scope

The preFDD red flag review is an indicative review based on the materials provided. It is not a substitute for full financial, tax, legal, or commercial due diligence and is not an audit. We make no representation as to the accuracy or completeness of the underlying materials.

6. Limitation of liability

To the maximum extent permitted by law, our aggregate liability arising out of or in connection with any engagement is limited to the fees actually paid for that engagement. We are not liable for indirect, consequential, or loss-of-profit damages.

7. Intellectual property

All content on this website is © preFDD 2026. Deliverables produced during an engagement are licensed to the engaging client for internal use, subject to the engagement letter.

8. Governing law

These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
